1. Acceptance of These Terms

By creating an account, accessing or using Autochive, you agree to be bound by these Terms & Conditions.

If you do not agree to these Terms, you must not use the platform.

By continuing to use Autochive after any updates to these Terms are published, you agree to the revised Terms.

2. About Autochive

Autochive is a digital platform that allows users to securely store, organise and manage vehicle-related information in one place.

Features may include, but are not limited to:

• Vehicle details
• Service history
• Maintenance and repair records
• MOT history
• Receipts and invoices
• Photographs
• Vehicle documents
• Mileage records
• Vehicle reminders
• PDF exports
• Other features introduced from time to time

Some information displayed within Autochive may be provided by users, public records, government sources or third-party services.

While we aim to provide accurate and reliable information, we cannot guarantee that all information will always be complete, accurate or up to date. You should independently verify any information before relying upon it.

3. No Professional Advice

Autochive is provided for information and record-keeping purposes only.

Nothing within Autochive constitutes legal, financial, mechanical, insurance, valuation, tax or any other form of professional advice.

You should obtain independent professional advice before making decisions relating to the purchase, sale, ownership, maintenance, repair or insurance of any vehicle.

4. Eligibility

You must be at least 18 years old, or otherwise have the legal capacity to enter into a binding agreement, to create an Autochive account.

You are responsible for ensuring that your use of Autochive complies with all applicable laws.

5. Your Account

You are responsible for maintaining the security of your account and keeping your login details confidential.

You are responsible for all activity carried out using your account unless it results from a security issue on our systems.

If you believe your account has been accessed without your permission, you should notify us immediately by emailing support@autochive.com.

6. User Responsibilities

You agree to:

• Use Autochive lawfully.
• Provide accurate information where reasonably possible.
• Protect your account credentials.
• Respect the rights of other users.
• Comply with all applicable laws.

You must not:

• Attempt unauthorised access to Autochive or another user's account.
• Upload malicious software, viruses or harmful code.
• Circumvent security measures.
• Interfere with or disrupt the operation of the platform.
• Abuse APIs or automated systems.
• Scrape, harvest or extract data without permission.
• Reverse engineer, decompile or copy the platform.
• Upload unlawful, fraudulent, misleading or offensive content.
• Use Autochive for illegal purposes.

7. User Content

You retain ownership of any documents, photographs, receipts, invoices, service records or other content ("User Content") that you upload to Autochive.

By uploading User Content, you grant Autochive a non-exclusive, worldwide, royalty-free licence to store, process, reproduce, display and transmit that content solely for the purpose of operating, maintaining, securing and improving the Autochive platform.

Autochive does not acquire ownership of your User Content. Any licence granted to Autochive under these Terms exists solely for the purpose of providing, operating, maintaining, securing, improving and administering the Autochive platform.

By uploading User Content, you confirm and warrant that:

• You are the legal owner of the content, or you have obtained all necessary rights, permissions, licences or authority to upload it.
• The content does not infringe the copyright, trade marks, database rights, intellectual property rights, privacy rights or any other legal rights of another person or organisation.
• The content complies with applicable laws and these Terms.
• The information provided is accurate to the best of your knowledge and is not intentionally false, misleading or fraudulent.

You remain solely responsible for all User Content that you upload.

If any claim, complaint, legal action, regulatory investigation or dispute arises because of User Content that you have uploaded, including allegations of copyright infringement, trade mark infringement or infringement of any other third-party rights, you agree to indemnify and hold harmless Autochive, its owners, employees, contractors and affiliates against any resulting claims, liabilities, damages, losses, settlements, legal costs and other reasonably incurred expenses arising directly from your User Content or your breach of these Terms.

Autochive does not routinely review, verify or endorse User Content and accepts no responsibility for its accuracy, legality or authenticity.

We reserve the right to remove, restrict or delete any User Content that we reasonably believe:

• Breaches these Terms.
• Infringes another person's rights.
• Is unlawful, fraudulent, abusive, defamatory or misleading.
• May compromise the security or operation of Autochive.
• May expose Autochive or its users to legal or security risks.

8. Intellectual Property

Unless otherwise stated, all rights, title and interest in Autochive, including its software, source code, website, design, branding, logos, graphics, text, databases, user interface, layouts, functionality and content created by Autochive, are owned by or licensed to Autochive.

The Autochive platform is protected by applicable intellectual property laws, including the Copyright, Designs and Patents Act 1988, the Trade Marks Act 1994 and other applicable laws.

The name Autochive, its logo, branding and associated intellectual property are owned exclusively by Autochive unless otherwise stated.

You may not:

• Copy or reproduce any part of Autochive.
• Republish or distribute Autochive content.
• Modify or create derivative works.
• Reverse engineer or attempt to extract source code.
• Remove copyright or proprietary notices.
• Use the Autochive name, logo or branding without written permission.

Nothing in these Terms transfers ownership of Autochive's intellectual property to you.

Unauthorised use of Autochive's intellectual property may result in account suspension, legal action or both.

9. Subscriptions and Payments

Some features are available free of charge.

Additional features may require a paid subscription.

Subscription prices, billing periods and included features will always be displayed before purchase.

Subscriptions may renew automatically unless cancelled before the next billing date.

Failure to make payment may result in suspension or removal of access to paid features.

Autochive may introduce, modify or discontinue subscription plans, features, pricing or usage limits from time to time. Unless required by law, any changes affecting an active paid subscription will take effect from the user's next renewal date.

10. Third-Party Services

Autochive may integrate with third-party providers, including payment providers, authentication providers and public or government data sources.

We are not responsible for the availability, accuracy or performance of any third-party service or information supplied by them.

11. Service Availability

Autochive is provided on an "as available" basis.

While we work hard to provide a reliable service, we cannot guarantee uninterrupted availability or that the platform will always be free from errors.

We may carry out maintenance, introduce new features, modify existing functionality, suspend parts of the platform or permanently discontinue certain features or the Autochive service where necessary for technical, commercial, operational or legal reasons.

Where reasonably possible, we will provide advance notice of significant changes, although this may not always be possible.

We recommend keeping your own copies of important documents and records. Autochive should not be relied upon as your only backup.

Although Autochive maintains backups and disaster recovery procedures to support business continuity, deleted data may temporarily remain within encrypted backup systems before being permanently overwritten in accordance with our data retention policies. Such backups are maintained solely for disaster recovery and operational resilience.

12. Limitation of Liability

To the fullest extent permitted by law, Autochive shall not be liable for losses arising from:

• Reliance on information displayed within the platform.
• Inaccurate or incomplete third-party information.
• User-submitted content.
• Temporary or permanent service interruptions.
• Changes to, suspension of or discontinuation of the platform.
• Loss of uploaded documents or data.
• Internet connectivity issues.
• Indirect or consequential losses.
• Loss of profits, revenue, business opportunities or goodwill.

Nothing within these Terms excludes or limits liability that cannot legally be excluded under the laws of England and Wales.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited under the laws of England and Wales.

13. Indemnity

You agree to indemnify and hold harmless Autochive, its owners, employees, contractors and affiliates against any claims, liabilities, losses, damages, legal costs and reasonable expenses arising from:

• Your breach of these Terms.
• Your misuse of the platform.
• Illegal activity.
• Content uploaded by you.
• Your infringement of another person's rights.
• Any unauthorised access attempts made using your account.

14. Damage to the Platform

If you intentionally, recklessly or unlawfully damage, disrupt or compromise the operation or security of Autochive, you may be liable for all reasonably incurred losses suffered by Autochive.

Recoverable losses may include legal fees, investigation costs, technical remediation costs, recovery costs, professional fees and direct financial losses resulting from the incident.

15. Account Suspension or Termination

We may suspend, restrict or permanently terminate your account where:

• These Terms have been breached.
• Fraud or unlawful activity is suspected.
• Platform security is threatened.
• False or misleading information is repeatedly submitted.
• Your activity negatively affects other users or the integrity of Autochive.

You may close your account at any time.

Where reasonably practicable, you should export any records you wish to retain before closing your account.

When you close your account:

• your login credentials are deleted immediately;
• you may choose to permanently delete your uploaded documents (including receipts, invoices, certificates, PDFs and photographs) or to retain them within Autochive's restricted retained-document archive;
• retained uploaded documents may contain personal data;
• retained uploaded documents are stored within Autochive's restricted retained-document archive, are not visible to any future owner of the vehicle, and are not included within the vehicle's normal history;
• retained uploaded documents are accessible only to authorised Autochive administrators where required for operational, legal or regulatory purposes;
• you may request the permanent deletion of any retained uploaded documents at any time from your Profile;
• ownership history is deleted;
• vehicle service, MOT and mileage history remains as part of the vehicle's historical record, and a deleted user cannot be linked back to that history;
• your name and email address may be retained for up to six (6) years for tax, accounting, audit, fraud-prevention, legal-compliance and legal-defence purposes, as described in the Privacy Policy.

16. Force Majeure

Autochive shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including (without limitation):

• natural disasters;
• acts of government;
• war;
• terrorism;
• civil unrest;
• industrial disputes;
• failures of telecommunications or internet services;
• cyber attacks;
• failures or outages affecting third-party providers;
• any other event beyond Autochive's reasonable control.

17. Privacy

Your use of Autochive is also governed by our Privacy Policy, which explains how we collect, use, store and protect your personal information.

18. Changes to These Terms

Autochive is continually evolving.

We may update these Terms from time to time to reflect improvements to our services, changes in legislation, security requirements or changes to how we operate.

Updated Terms become effective from the date they are published unless stated otherwise.

Your continued use of Autochive after updated Terms have been published constitutes acceptance of the revised Terms.

We recommend reviewing these Terms periodically.

19. Assignment

Autochive may assign, transfer or otherwise deal with its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of the business or similar corporate transaction.

Users may not assign or transfer their rights or obligations under these Terms without Autochive's prior written consent.

20. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions shall remain in full force and effect.

21. Waiver

If we choose not to enforce any provision of these Terms, this does not prevent us from enforcing that provision or any other provision at a later date.

22. Entire Agreement

These Terms & Conditions, together with our Privacy Policy and any other policies published by Autochive, constitute the entire agreement between you and Autochive regarding your use of the platform.

23. Governing Law

These Terms are governed by the laws of England and Wales.

Any dispute relating to these Terms or your use of Autochive shall be subject to the exclusive jurisdiction of the courts of England and Wales unless applicable consumer law provides otherwise.
